Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Stockist platform, mobile apps and web dashboards (the “Service”), operated by Hailio (Pty) Ltd, trading as Stockist (“Stockist”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Stockist is a technology platform that lets buyers order stock from suppliers, coordinate deliveries, and manage invoicing, inventory and bookkeeping. Buyers and suppliers transact directly with one another. Stockist is not a party to those transactions, does not buy, sell or own the goods, and is not the employer of any driver. We are not responsible for the quality, safety, legality or delivery of goods traded between users, though we provide tools (order records, delivery notes, proof of delivery) to help.

You retain ownership of the business data you enter (suppliers, goods, orders, invoices, etc.). You grant us a limited licence to host and process that data to provide the Service. You are responsible for the accuracy and lawfulness of the data you upload. Our handling of personal information is described in our Privacy Policy.

6. Deliveries

Where deliveries are arranged through the Service, the buyer and supplier (and their nominated drivers) are responsible for carrying them out. Delivery timelines shown in the app are estimates. Stockist provides tracking and proof-of-delivery tools but does not guarantee delivery outcomes.

7. Intellectual property

The Service, including its software, design, branding and content (excluding your data), is owned by Stockist and its licensors and is protected by law. You may not copy, modify or distribute it except as permitted by these Terms.

8. Disclaimers

The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim warranties that the Service will be uninterrupted, error-free, or fit for a particular purpose. You are responsible for verifying financial figures and transaction records before relying on them.

9. Limitation of liability

To the maximum extent permitted by law, Stockist will not be liable for indirect, incidental or consequential losses, or for loss of profit, revenue, goodwill or data, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited by law, including under the Consumer Protection Act where it applies.

10. Indemnity

You agree to indemnify Stockist against claims, losses and costs arising from your breach of these Terms, your misuse of the Service, or your transactions with other users.

11. Suspension & termination

You may stop using the Service and delete your account at any time (see Data & Account Deletion). We may suspend or terminate access if you breach these Terms, fail to pay, or where required by law. On termination, your right to use the Service ends; certain records may be retained as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute, subject to your rights under applicable consumer law.

13. Changes

We may update these Terms from time to time. Material changes will be notified in the app or by email. Continued use after changes take effect means you accept the updated Terms.
